Business management

MSDP supports directors on company structuring, governance between shareholders and financial steering of operations — from the position of a firm that performs those duties itself.

In brief

MSDP holds executive mandates and takes responsibility for the accounting management of the structures it directs. Deciding and answering for the numbers in the same movement gives a concrete reading of what holds an organisation together or breaks it: clarity of the rules between shareholders, and reliability of financial information.

The advice therefore focuses less on declarative strategy than on mechanisms: who decides what, how costs are allocated, how often information surfaces, and what happens when a shareholder wants out.

What the service covers

  • Incorporation and structuring of companies, including variable-capital cooperatives and multi-entity structures.
  • Drafting the governance framework: decision rules, allocation keys, entry and exit conditions.
  • Setting up financial steering: analytical chart of accounts, true cost price, monthly dashboard.
  • Structuring a cost-sharing economic model between users or co-owners.
  • Interim management or support to a director through a period of growth or acquisition.
  • Preparing a business acquisition: review of commitments, valuation, first-hundred-days plan.
  • Running a case with public authorities: building a coalition of stakeholders, structuring a public-private partnership, negotiating with a granting or funding authority.

What makes MSDP’s approach different

An elegant legal structure that does not survive the first conflict is worth nothing. MSDP systematically tests proposed structures against unpleasant scenarios: the death of a shareholder, a disagreement over an investment, an abrupt exit, a loss-making year.

It is also why MSDP insists on analytical accounting from day one. Separating fixed from variable costs and allocating them correctly is not an accountant’s requirement: it is what allows correct billing and prevents the partner who uses least from subsidising the one who uses most.

FAQ

Frequently asked questions

Is MSDP an accounting or law firm?

No. MSDP is not a certified accountant, tax adviser or lawyer, and does not substitute for those regulated professions. It works alongside them: MSDP structures the model and prepares the decisions; licensed professionals validate and execute the acts that fall within their remit.

Does MSDP accept executive or board mandates?

Case by case, where the engagement justifies it and no conflict of interest exists with current commitments.

How long does a management engagement typically last?

From a few days for a second opinion on a structure, to several months for ongoing executive support. Scope and end date are written down before work begins.

A project, a mandate, a question?
